How this is calculated. Pre-money convention: post-money = pre-money + the amount raised, and the new investor takes amount ÷ post-money. A pool created in a round is carved out of the pre-money before the round, so it dilutes existing holders and not the incoming investor - the standard term sheet position, and the one that catches founders out. Convertibles, SAFEs, liquidation preferences and anti-dilution are not modelled. This is a planning aid, not advice: check any real round with your lawyer and accountant.
